Licence Agreement & Terms of Sale

1. Who you're contracting with

Bayagrid ("the Software") is licensed by Yuno Supplies Ltd, a company registered in England & Wales, company number 12060708 ("we", "us"). Bayagrid is a trading name of Yuno Supplies Ltd. By installing or using the Software you agree to this agreement.

If you purchase in mainland China, your contract is with Hunan Kuke Yide E-Commerce Co., Ltd. instead, under the Chinese terms.

2. What you get

We grant you a non-exclusive, non-transferable licence to install and use the Software:

• Free tier: the four half-screen actions, on any number of your own Macs, for as long as you like, at no cost.
• Plus: all features, on up to 3 Macs that you own or control, for the duration of your paid subscription term.

You may swap which Macs are activated at any time using the self-service device management in your activation link.

3. Trial

Plus includes a 14-day free trial. If you cancel before the trial ends, you are not charged. If you don't cancel, the subscription starts and your payment method is charged the then-current price.

4. Subscription, renewal and cancellation

Plus is an annual subscription. Unless you cancel, it renews automatically each year at the price shown at checkout. You can cancel at any time — through the customer portal link in your receipt, or by emailing us. On cancellation you keep Plus until the end of the paid term, after which the Software reverts to the free tier. Your app is never disabled and your settings are never deleted — you simply lose the Plus-only actions.

5. Price and taxes

Prices are shown at checkout in your currency and include VAT or local taxes where applicable. We may change prices for future renewal terms; if we do, we'll tell you by email before the change takes effect, and you can cancel if you don't accept it.

6. Refunds

Because we offer a 14-day free trial that lets you test every feature before paying, we do not offer refunds as a matter of course. If something is genuinely broken or the Software doesn't do what this website says it does, email us — we'd rather fix it or refund you than have an unhappy user. Your statutory rights as a consumer are unaffected.

7. What you may not do

• Share, resell, rent or sublicense your licence, or use it on machines that aren't yours.
• Circumvent, disable or tamper with the licensing and activation mechanism.
• Reverse engineer, decompile or disassemble the Software, except where that right cannot be excluded by law.
• Remove or alter our copyright and identification notices.

We may suspend a licence found to be shared publicly or used in breach of this section.

8. What the Software does to your Mac

Bayagrid requires macOS Accessibility permission in order to move and resize windows of other applications. That is the only system permission it requests, and it is used solely for that purpose. See our Privacy Policy.

9. Ownership

We (and our licensors) own the Software. You're buying a licence to use it, not the Software itself. Bayagrid is built on open-source components; where those components require it, their licences and notices are included with the Software and continue to govern those components.

10. Updates

We may release updates that fix, change or remove features. Plus subscribers receive updates released during their term. We don't promise any specific future feature or timeline; anything described as "coming soon" is an intention, not a commitment.

11. Warranty disclaimer

The Software is provided "as is", without warranty of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that it will be uninterrupted or error-free. Nothing here excludes rights you have as a consumer that cannot lawfully be excluded.

12. Limitation of liability

To the extent permitted by law, our total liability arising out of or relating to the Software or this agreement is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental or consequential losses, or for loss of profits, data or business. Nothing limits our liability for death or personal injury caused by negligence, or for fraud.

13. Termination

This licence ends if you breach it materially and don't fix the breach after we ask. On termination you must stop using Plus features. Sections 7, 9, 11, 12 and 14 survive.

14. Governing law

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction — except that if you are a consumer resident elsewhere, you keep the benefit of any mandatory consumer protections of your country of residence. Purchases made through our mainland-China storefront are governed by the terms presented at that checkout.
